TERMS OF USE OF THE WEBSHOP PORTAL

1.1 These terms of use govern access to and use of the webshop portal (“Portal”) provided by Ninz S.p.A. (“Ninz”) to its customers (“User”). Access to the Portal and use of the services available therein imply full acceptance of these terms. In the event of non-acceptance, the User shall not be permitted to access or use the Portal.

2.1 Access to the Portal is reserved for Users previously authorized by Ninz.
2.2 Access credentials (username and password) are generated by Ninz and must be considered strictly personal and non-transferable. The User undertakes to keep them carefully and not to share them with third parties.
2.3 Ninz shall not be liable for any unauthorized access resulting from improper use of the credentials by the User.

3.1 The Portal allows the User to:

• View the status of their orders, quotations, and commercial documents;
• Consult reference contacts and updated production availability;
• Generate, configure, and save quotations through two configurators: one standard and one graphic;
• Confirm quotations and convert them into binding orders through the dedicated online procedure.

4.1 Quotations generated through the Portal are purely indicative and do not constitute a binding contractual offer for Ninz until they are confirmed by the User and accepted by Ninz.
4.2 The delivery date proposed at the quotation stage is to be understood as theoretical and non-binding, and is calculated based on the remaining production availability of Ninz at the date the quotation is generated.
4.3 Final confirmation of the delivery date takes place only following acceptance of the order by Ninz.

5.1 To confirm an order, the User must complete the following digital procedure:

• Verification and confirmation of the User’s personal/company data and order summary;
• Selection and confirmation of the payment terms;
• Review and acceptance of the general and special terms and conditions of sale;
• Digital signature via OTP (One-Time Password), or alternatively, handwritten signature on a paper form.

At the end of this procedure, the quotation shall be deemed confirmed and converted into an Order, which may no longer be modified.
5.2 If the final delivery date shown in Ninz’s Order Confirmation document differs from the date initially proposed, Ninz shall request the User to countersign acceptance of the new date.

6.1 The User is responsible for the accuracy of the data entered in the Portal and for the truthfulness of the information provided.
6.2 Ninz shall not be liable for any errors resulting from incomplete, incorrect, or outdated data provided by the User.

7.1 Ninz undertakes to ensure the availability and proper functioning of the Portal, but assumes no liability for any temporary interruptions, malfunctions, or data losses not attributable to wilful misconduct or gross negligence.

8.1 Ninz reserves the right to amend these terms of use at any time, notifying the User of any changes through the Portal.

9.1 These terms are governed by Italian law.
9.2 Any disputes arising from these Terms of Use shall be subject to the exclusive jurisdiction of the Italian courts, and the Court of Rovereto (Italy) shall have exclusive competence.
